1. Acceptance of Terms

By accessing and using Sovereign Trades ("the Platform"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by the above, please do not use this service. The Platform is owned and operated by Riemann Computing Inc.

2. Description of Services

Sovereign Trades provides copy trading services that allow users to automatically replicate trades from strategy providers. Our services include:

  • Access to curated alpha trading strategies
  • Automated copy trading functionality
  • Real-time portfolio tracking and analytics
  • Integration with third-party brokerage services for trade execution

Important: Sovereign Trades is not a broker-dealer, investment adviser, or financial institution. We provide a technology platform that connects users with trading strategies and facilitates the execution of trades through our third-party brokerage provider. All securities transactions are executed by our brokerage provider, not by Sovereign Trades.

3. Brokerage Services

Third-Party Brokerage Relationship

To use our copy trading services, you must open and maintain a brokerage account through our third-party brokerage provider. By connecting your brokerage account to Sovereign Trades, you authorize us to submit trade orders on your behalf based on the strategies you choose to follow.

Sovereign Trades is not affiliated with, endorsed by, or a subsidiary of any brokerage firm. We are an independent technology platform that utilizes brokerage APIs to execute trades. Your brokerage account and funds are held directly with the broker, not with Sovereign Trades.

Securities Services

Securities products and services are offered through Alpaca Securities LLC, member FINRA/SIPC. Alpaca Securities LLC is a wholly-owned subsidiary of AlpacaDB, Inc.

Cryptocurrency Services

If cryptocurrency trading is available, such services are provided through Alpaca Crypto LLC, which is not a member of FINRA or SIPC. Cryptocurrencies are not stocks and cryptocurrency investments are not protected by either FDIC or SIPC.

Brokerage Disclosures and Documents

The following disclosures are provided by our brokerage partner. By using Sovereign Trades and connecting your brokerage account, you acknowledge that you have reviewed and agree to these documents.

4. Risk Disclosure

Important Risk Warning

Trading Risk: All trading involves substantial risk of loss and is not suitable for all investors. Past performance does not guarantee future results. You should carefully consider your investment objectives, level of experience, and risk appetite before trading.

Copy Trading Risk: Copy trading involves additional risks as you are replicating trades made by third parties. Strategy performance may vary significantly and historical returns do not guarantee future performance.

Market Risk: Securities prices can be volatile and may decline in value. You may lose some or all of your investment. Market conditions, economic factors, and geopolitical events can all impact investment values.

No Guarantee: No trading strategy or advice can guarantee profits or prevent losses. Sovereign Trades, its employees, strategy providers, and affiliates do not guarantee the performance of any strategy.

Only Risk Capital: You should only trade with capital that you can afford to lose. Do not invest money that you need for essential expenses, emergencies, or retirement.

5. Fee Structure and Pricing

Performance-Based Fee Model

Profit Sharing

Sovereign Trades operates on a performance-based fee model. Strategy providers charge 20% of net profits generated through copy trading activities. This means:

  • Fees are only charged when you make a profit
  • The 20% fee applies to net profits only (profits minus losses)
  • No fees are charged on losing trades or periods of loss
  • Fees are calculated and deducted from your profitable trades

Loss Non-Liability

Important: Sovereign Trades and its strategy providers do NOT share in any losses incurred through copy trading. You bear full responsibility for all trading losses. Specifically:

  • All trading losses are 100% borne by you, the user
  • Strategy providers and Sovereign Trades have no liability for losses
  • No refunds or reimbursements are provided for losing trades
  • Past performance is not indicative of future results

Copy Trading at Your Own Risk

By using Sovereign Trades copy trading services, you acknowledge and agree that:

  • You are proceeding entirely at your own risk
  • You are solely responsible for all trading decisions and outcomes
  • Copy trading does not guarantee profits and may result in substantial losses
  • You should only invest capital that you can afford to lose
  • You have read and understood all risk disclosures

Additional Fees

Additional fees may include:

  • Third-party broker fees (charged by your brokerage account provider)
  • Regulatory fees as required by law
  • Payment for order flow as disclosed in brokerage disclosures

6. Cybersecurity Policy

Security Measures and Protocols

Data Classification and Handling

Sovereign Trades implements strict data classification and handling procedures:

  • Confidential Data: Personal information, financial data, and trading credentials are classified as highly confidential
  • Internal Data: Trading strategies, performance metrics, and operational data are classified as internal use only
  • Public Data: General market information and public disclosures are classified as public
  • All data is handled according to its classification level with appropriate security controls
  • Data retention policies ensure data is stored only as long as necessary

Access Control and Privileged Access Management

We implement comprehensive access control measures:

  • Multi-Factor Authentication (MFA): Required for all administrative access
  • Role-Based Access Control (RBAC): Users are granted minimum necessary permissions
  • Privileged Access Management: Administrative access is strictly controlled, monitored, and logged
  • Regular access reviews ensure only authorized personnel have system access
  • Session management with automatic timeout for inactive sessions
  • Strong password policies with complexity requirements

Encryption of Data at Rest and in Transit

All sensitive data is protected through encryption:

  • Data in Transit: All data transmitted over networks is encrypted using TLS 1.3 or higher
  • Data at Rest: All sensitive data stored in databases is encrypted using industry-standard AES-256 encryption
  • API credentials and authentication tokens are encrypted and securely stored
  • Database connections use encrypted channels
  • Encryption keys are managed using secure key management systems

Vulnerability Management and Patch Management

We maintain a proactive approach to identifying and addressing security vulnerabilities:

  • Continuous Monitoring: The platform is continuously monitored for security vulnerabilities and suspicious activities
  • Regular security assessments and penetration testing are conducted
  • Automated vulnerability scanning of all systems and dependencies
  • Patch Management: Security patches and updates are applied promptly according to severity
  • Critical vulnerabilities are addressed within 24-48 hours
  • All third-party libraries and dependencies are kept up to date
  • Security advisories are monitored for all software components

Incident Response and Disaster Recovery

Comprehensive incident response and disaster recovery procedures are in place:

  • 24/7 Security Monitoring: The platform is monitored around the clock for security incidents
  • Denial of Service (DoS) Protection: Advanced monitoring and mitigation systems detect and prevent DoS and DDoS attacks
  • Unauthorized Access Detection: Automated systems detect and alert on unauthorized access attempts, brute force attacks, and suspicious login patterns
  • Traffic Analysis: All network traffic is monitored for malicious patterns and anomalies
  • Incident response team available to address security incidents immediately
  • Documented incident response procedures with clear escalation paths
  • Regular backup of all critical data with secure off-site storage
  • Disaster recovery plan tested regularly to ensure business continuity
  • Users will be notified of any security incidents affecting their accounts within 72 hours
  • Post-incident analysis conducted to prevent future occurrences

Our infrastructure is hosted on secure cloud platforms that maintain:

  • 24/7 physical security with video surveillance
  • Biometric access controls and security personnel
  • Environmental controls (fire suppression, climate control)
  • Redundant power and network connectivity
  • Secure hardware disposal procedures

Vendor Risk Management

All third-party vendors and service providers are carefully assessed:

  • Security assessments conducted before vendor onboarding
  • Vendors must meet our security and compliance standards
  • Regular reviews of vendor security posture and compliance
  • Contracts include security and data protection requirements
  • Key vendors maintain industry-standard security certifications
  • Vendor access to systems is limited and monitored
  • Incident reporting requirements included in vendor agreements

User Security Responsibilities

Users are responsible for:

  • Maintaining the confidentiality of their login credentials
  • Using strong, unique passwords
  • Not sharing account access with others
  • Reporting suspected security incidents immediately
  • Keeping their contact information up to date
  • Reviewing account activity regularly

7. User Responsibilities

By using our platform, you agree to:

  • Provide accurate and complete information during registration
  • Maintain the security of your account credentials
  • Comply with all applicable laws and regulations
  • Not engage in any fraudulent or manipulative activities
  • Understand the risks associated with trading and copy trading
  • Review and understand all brokerage disclosures and agreements
  • Ensure your brokerage account remains in good standing
  • Monitor your account activity and report any unauthorized transactions

8. Intellectual Property

All content, features, and functionality of the Sovereign Trades platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of Riemann Computing Inc. or its content suppliers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Sovereign Trades, Riemann Computing Inc., and their officers, directors, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages resulting from:

  • Your use or inability to use the platform
  • Any trading losses or investment performance
  • Errors or omissions in any content
  • Unauthorized access to or alteration of your transmissions or data
  • Statements or conduct of any third party on the platform
  • Any other matter relating to the platform

10. Indemnification

You agree to defend, indemnify, and hold harmless Sovereign Trades, Riemann Computing Inc., and their officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of and access to the platform, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may terminate or suspend your access to the platform immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information. By using our services, you consent to the collection and use of information in accordance with our Privacy Policy.

13. Modifications to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of the platform after any changes constitutes acceptance of the new terms. We encourage you to review these Terms periodically for any changes.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the use of the platform shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association within the applicable jurisdiction for Riemann Computing Inc.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
